  • The Week’s Most Important Closed M&A Transactions:
    • On October 28, 2024, Decibel Cannabis (D.B.: TSX) closed its acquisition of Agmedica Bioscience, a subsidiary of Atlas Global Brands, which is operating under Canadian bankruptcy (CCAA) proceedings.
    • The company was acquired from Callisto pursuant to an assignment agreement via a seller note for $4.54M.
    • Agmedica is expected to materially expand Decibel’s international footprint with EU GMP certification that enables the export of flower and extract products, with sales in 7 countries, including Australia, Denmark, Germany, Israel, Norway, Spain, and the U.K.
    • Decibel estimates that Agmedical could add $30M of net revenue and $4M of EBITDA in 2025, pegging the EV/NTM EBITDA at 1.6x.
