Equity Commentary

Viridian publishes weekly insights on equity capital raises in the Cannabis/CBD/Psychedelic industries. These insights typically highlight the most interesting/meaningful equity transactions of that week, and commentary on market conditions, equity deal structures and investor groups.

Week ended 03/07/2025

Equity Raises:

    • On March 3, 2025, Organigram Holdings (OGI: Nasdaq), the seventh-largest Canadian LP by market cap, closed its third tranche of investment from BAT for $29.0M. This was the final tranche of the previously announced C$124.6M strategic equity investment from British American Tobacco (“BAT”)
      • Most of the investment will be used to fund a strategic investment pool named Jupiter. The Jupiter Pool aims to accelerate Organigram’s growth through investments in both the U.S. and overseas.
      • The tranche was priced at $2.25 per share in July 2023, substantially higher than today’s trading price.

Public vs. Private Raises: 

  • Both capital raisers this week are public. Both trade in the U.S. (one on OTCQx and one on Nasdaq) and in Canada (One on TSX and one on Cboe).

Equity vs. Debt Cap Raises:

  • Debt accounted for 74% of trailing 8-week capital raises. The ratio may go down if companies are able to utilize favorable regulatory-induced stock price increases to complete equity issues. However, equity pricing has remained stubbornly low while the cannabis debt capital markets have reopened.
